1. WHO WE ARE

Arbuun (“Arbuun”, “we”, “us”, “our”) is an intelligent reference layer for the built environment — a spatial data and urban planning intelligence platform for architects, urban designers, planners, developers, and government and public-sector professionals working on Indian cities.

Arbuun is operated by Muskan Priyadarshni, an individual based in New Delhi, India, doing business under the name “Arbuun.” Arbuun is not currently registered as a separate corporate entity, and these Legal Terms are entered into between you and Muskan Priyadarshni, operating as Arbuun.

We are responsible for the operation of the website at https://arbun.space (the “Site”) and the connected products referenced on the Site — Potpourri (Projects Database), Watchtower (Tender Tracking), Litmus (Pre-Design Analysis), and Compass (Regulations Hub) — together with any other linked products and services that reference these Terms of Service (the “Legal Terms”) (collectively, the “Services”).

2. ACCESS & REGISTRATION

These Legal Terms constitute a legally binding agreement entered into between you, either personally or on behalf of an entity (“you”, “user”), and Muskan Priyadarshni, operating as Arbuun, regarding your access to and use of the Services. By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Legal Terms.

If you do not agree to all of these Legal Terms, you are expressly prohibited from using the Services and must immediately stop using them.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time. We will notify you of any material changes by updating the “Last Updated” date above. It is your responsibility to periodically review these Legal Terms. Your continued use of the Services after any revised Legal Terms are posted constitutes your acceptance of the changes.

If you register for a waitlist, an account, or any part of the Services, you agree to provide accurate and complete information and to keep it up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, and you agree not to share your credentials with any third party.

If you create an account or use the Services on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Legal Terms.

The Services are intended for users who are 18 years of age or older and are professionals or organizations engaged in architecture, urban planning, design, development, or public-sector work related to the built environment. Persons under the age of 18 may not use or register for the Services.

3. CURRENT STAGE OF THE SERVICES

Arbuun is under active development. As of the date these Legal Terms were last updated, the publicly available functionality on the Site consists of a waitlist sign-up and, where we have expressly made it available to you, a beta version of the Street Design CRM within Potpourri. References on the Site or in these Legal Terms to Potpourri's other project typologies, Watchtower, Litmus, and Compass describe our intended product roadmap and do not represent that those features are currently live.

Beta and early-access features (including the Street Design CRM) are provided for evaluation purposes, may change substantially, may contain errors or incomplete data, and may be modified, limited, or discontinued at any time without liability to you. We will update these Legal Terms as additional features and paid tiers become available.

4. USE OF OUR SERVICES

Subject to your compliance with these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Services for your own internal business or professional purposes.

Except as set forth in this section or elsewhere in these Legal Terms, no part of the Content or Marks (as defined below) may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. Requests for any other use should be directed to team@arbun.space.

We reserve all rights not expressly granted to you in the Services, Content, and Marks. Any breach of these intellectual property provisions constitutes a material breach of these Legal Terms and will result in immediate termination of your right to use the Services.

The Services are intended primarily for use in connection with projects, regulations, and data relating to Indian cities. If you access the Services from outside India, you are responsible for compliance with local laws to the extent they apply.

5. INTELLECTUAL PROPERTY RIGHTS

We are the owner or licensee of all intellectual property rights in the Services, including source code, databases, functionality, software, designs, text, graphics, data visualizations, and other content made available through the Services (collectively, the “Content”), as well as the “Arbuun” name and logo, “Potpourri,” “Watchtower,” “Litmus,” “Compass,” the tagline “An intelligent reference layer for the built environment,” and related marks (collectively, the “Marks”).

Our Content and Marks are protected by Indian and international copyright, trademark, and unfair competition laws, and are provided on or through the Services on an “AS IS” basis for your internal business purpose only.

5.1 Your Submissions and Contributions

If you submit questions, comments, suggestions, feedback, project data, or other information to us (“Submissions”), you agree that we may use and incorporate such Submissions into the Services without restriction, acknowledgment, or compensation to you, except where you and we have agreed otherwise in writing (for example, in connection with a data-sharing or partnership arrangement).

Where the Services allow you to upload, submit, or contribute project records, datasets, comments, or other materials (“Contributions”), you retain ownership of your Contributions. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process your Contributions solely as necessary to operate, maintain, and improve the Services, including making relevant aggregated or de-identified insights available to other users of the Projects Database, Tender Tracking, or related products, consistent with our Privacy Policy.

By submitting Contributions, you represent that you have the necessary rights to submit them, that they do not infringe any third party's intellectual property or confidentiality rights, and that they are not unlawful, defamatory, or misleading. You are solely responsible for your Contributions and agree to reimburse us for losses arising from your breach of this section or of a third party's rights.

We may, but are not obligated to, review, edit, or remove any Contribution at any time, without notice, if we reasonably believe it is harmful, inaccurate, or violates these Legal Terms.

5.2 Copyright and Data Infringement Complaints

We respect the intellectual property and data rights of others. If you believe that material available on or through the Services infringes a copyright or other right that you own or control, please notify us at team@arbun.space with sufficient detail for us to investigate. We may share your notice with the party who submitted the material in question. Please note that you may be held liable for damages if you make a false or bad-faith claim.

6. DATA ACCURACY AND USE FOR PLANNING PURPOSES

Arbuun aggregates, structures, and presents information relating to projects, tenders, regulations, and site conditions from a variety of public, licensed, and user-submitted sources. Some fields (for example, accessibility, speed-risk, connectivity, heat-index, or similar calculated scores) are derived using published methodologies and formulas that may be provisional, approximate, or based on incomplete underlying data.

The Services are a reference and research aid, not a substitute for authoritative government records, regulatory approval, licensed surveys, or professional judgment. You are solely responsible for independently verifying any information obtained through the Services — including regulatory, tender, or site-condition data — with the relevant authority, client, or qualified professional before relying on it for any design, planning, regulatory, financial, or safety-related decision.

Where you submit your own project data or documents to the Services, you are solely responsible for the accuracy, completeness, and lawfulness of that data. We are not responsible for decisions made in reliance on data you or other users have contributed.

7. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all information you submit is true, accurate, current, and complete, and you will keep it updated; (2) you have the legal capacity to agree to these Legal Terms and are not a minor; (3) you will not access the Services through automated or non-human means except as we may separately permit; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will comply with all applicable laws and regulations.

If any information you provide is untrue, inaccurate, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Services.

7.1 User Registration

You may be required to register for a waitlist or account to use certain parts of the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We reserve the right to remove or change a username or organization identifier that we determine, in our reasonable discretion, to be inappropriate or misleading.

7.2 Purchases and Payments

Arbuun does not currently process payments through the Site. If and when paid subscription tiers become available, this section will be updated to describe accepted payment methods, and you will be notified before any charge is made in connection with your use of the Services.

7.3 Subscription Terms

Where paid subscriptions are introduced, they will be offered on the basis described at the time of purchase (for example, by organization size, seats, or data volume). Unless stated otherwise, subscriptions will renew automatically for an equivalent period using the payment method on file, and you will be able to cancel auto-renewal through your account settings or by writing to team@arbun.space. We may, at our discretion, offer free trial or early-access periods on terms communicated at the time.

7.4 Refunds and Cancellation

Unless required by applicable law or expressly stated at the time of purchase, subscription fees are non-refundable once a billing period has begun. You may cancel a subscription at any time; cancellation will take effect at the end of the current billing period, and no partial refund will be issued for the unused portion of that period. If you experience a verified technical issue that prevents you from accessing the Services you paid for, contact team@arbun.space and we will consider a prorated refund or credit on a case-by-case basis.

7.5 Prohibited Activities

You may not access or use the Services for any purpose other than the one for which we make them available. As a user of the Services, you agree not to:

• Deceive, defraud, or mislead us or other users, including attempts to obtain account credentials or other users' data.
• Circumvent, disable, or interfere with any security-related feature of the Services or any limitation on use of the Services or Content.
• Disparage, tarnish, or otherwise harm, in our reasonable opinion, us, the Services, or other users.
• Use information obtained from the Services to harass, abuse, or harm another person or organization.
• Misuse our support channels or submit false reports of abuse or misconduct.
• Upload or transmit viruses, malicious code, or unsolicited bulk messages, or otherwise disrupt or burden the operation of the Services.
• Use scripts, bots, scrapers, data-mining tools, or other automated means to access, extract, or reproduce data from the Services, except through any interface we expressly provide for that purpose.
• Remove or obscure any copyright, trademark, or other proprietary notice from the Services or Content.
• Impersonate another person or organization, or misrepresent your affiliation with any entity.
• Reverse engineer, decompile, or disassemble any software, model, or system underlying the Services, except to the extent applicable law prohibits this restriction.
• Resell, sublicense, or use the Services or Content as part of a competing product or service without our written consent.
• Represent that data, analysis, or output generated using the Services is an official government record or regulatory approval when it is not.

7.6 Service Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate action against anyone who, in our reasonable discretion, violates the law or these Legal Terms; (3) restrict, disable, or remove any Contribution or content that is unlawful or burdensome to our systems; and (4) otherwise manage the Services to protect our rights and the integrity of the Services.

7.7 Privacy Policy

We care about the privacy and security of your data. By using the Services, you agree to be bound by our Privacy Policy, available at https://arbun.space/privacy, which describes how we collect, use, and protect your information.

7.8 Violations of Our Terms or Policies

Your use of the Services in violation of these Legal Terms may pose risk or harm to Arbuun, our users, or third parties. We may suspend or terminate your account if we reasonably believe you have violated these Legal Terms or applicable law, or if your account has been inactive for an extended period. If we suspend or terminate your account, you may appeal by writing to team@arbun.space.

7.9 Term and Termination

These Legal Terms remain in effect while you use the Services. We may, in our sole discretion and without notice or liability, deny access to or terminate your use of the Services for any reason, including breach of these Legal Terms. If your account is terminated for cause, you may not register a new account under your name, a false name, or on behalf of a third party without our consent.

7.10 Modifications and Discontinuation

We reserve the right to change, modify, suspend, or discontinue any part of the Services at any time, with or without notice, including during this active-development stage as features described in Section 3 are built and released. We will not be liable to you or any third party for any such modification, suspension, or discontinuation, or for downtime or interruptions to the Services.

7.11 Governing Law and Jurisdiction

These Legal Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Legal Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

7.12 Dispute Resolution

If a dispute arises between you and us relating to these Legal Terms, both parties agree to first attempt to resolve it informally by contacting team@arbun.space and engaging in good-faith negotiation for at least thirty (30) days before initiating any formal proceeding. This does not limit either party's right to seek injunctive relief, or to pursue a claim relating to intellectual property, confidentiality, or unauthorized access, at any time.

7.13 Corrections

The Services may contain typographical errors, inaccuracies, or omissions, including in project, tender, regulatory, or descriptive data. We reserve the right to correct such errors and to update information on the Services at any time without notice.

7.14 Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY DATA, CALCULATED SCORE, OR ANALYSIS PROVIDED THROUGH THE SERVICES IS ERROR-FREE OR SUITABLE FOR ANY SPECIFIC REGULATORY, DESIGN, OR FINANCIAL DECISION.

7.15 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE LEGAL TERMS OR THE SERVICES SHALL NOT EXCEED ₹5,000 (RUPEES FIVE THOUSAND).

Nothing in these Legal Terms limits liability that cannot be limited or excluded under applicable Indian law.

7.16 Indemnification

You agree to indemnify and hold harmless Arbuun and Muskan Priyadarshni from any claim, loss, liability, or expense (including reasonable legal fees) arising out of or relating to: (1) your Contributions; (2) your use of the Services; (3) your breach of these Legal Terms; (4) your violation of any third party's rights; or (5) any harmful act directed at another user through the Services.

7.17 User Data

We maintain certain data you submit to the Services for the purpose of operating and improving the Services. While we take reasonable measures to back up and protect data, you are responsible for maintaining your own copies of any data you consider critical, and we are not liable for loss or corruption of data except as required by applicable law.

7.18 Electronic Communications and Signatures

By using the Services or contacting us electronically, you consent to receive communications from us electronically. You agree that any notices, agreements, disclosures, or other communications we provide electronically satisfy any legal requirement that such communications be in writing, to the extent permitted under applicable Indian law, including the Information Technology Act, 2000.

7.19 Miscellaneous

These Legal Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on the subject. Our failure to enforce any provision of these Legal Terms is not a waiver of that provision. If any provision is found unenforceable, the remaining provisions remain in full effect. We may assign our rights and obligations under these Legal Terms at any time. Nothing in these Legal Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
